1. Acceptance of The Terms of Use

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("You") and Kollectiv Analytics FZCO ("Kollectiv," "we," "our," or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms of Use"), govern your access to and use of https://www.kollectiv.io/ and any other Kollectiv sponsored website related to Kollectiv (the "Sites") including any content, functionality, and Services (defined below) offered on or through the Sites (collectively, the "Platform"). Only users who have connected their wallets or generated a non-custodial wallet through the Platform can use the Services (a "registered user"). Any user who has not connected their wallet will only have viewing access to the publicly accessible parts of the Sites as a guest (an "unregistered user"). Defined terms not defined herein shall have the definition ascribed to them in the Privacy Policy.

Please read these Terms of Use carefully before you start to use the Platform. By using the Platform or by clicking to accept or agree to these Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use, our Privacy Policy, and Disclaimers all of which are incorporated herein by reference and collectively are known as the "Agreement". If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Platform.
This Platform is offered and available to persons who are seventeen (17) years of age or older. By using this Platform, you represent and warrant that you are of legal age to form a binding contract with Kollectiv and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Platform.

Kollectiv reserves the right to institute a ban on the account of anyone using the Platform in violation of these terms. The ban can range from a few hours to a permanent ban, at the sole discretion of Kollectiv. Bans may include, without limitation, freezing or removing your accumulated tickets or tokens. Any ecosystem assets held by a banned account may not be converted or transferred to any other account. If an account is banned permanently, the account holder will forfeit for no consideration all their ecosystem assets.


2. DEFINITIONS

The following terms as used herein shall have the following meanings:
"Discord" → https://discord.gg/kollectiv
"Challenges" → Time-limited activities that users can complete based on wearable data to earn rewards.
"Connected Services" → Third-party services integrated with the Platform, including wearable devices, social media accounts, and blockchain services.
"Enrollment Form" → the online enrollment, signup, or registration form completed by a registered user and which refers to these Terms of Use, and which may set out additional commercial terms that will govern the relationship between such registered user and Kollectiv. The Enrollment Form may be completed through one of our Connected Services.
"KOL" → the in-app token of Kollectiv that serves as the utility token within the Platform.
"Member" → a registered user who utilizes the Platform. Members must be registered users.
"Profile" → a registered user's profile on the Platform, which is available to link additional wallets, social media accounts, Connected Services that Members can then share with other registered users. While the Profile is public, registered users can manage their linked wallets or accounts from their setting page, which will be private to each registered user.
"Wearable Data" → Information collected from fitness tracking devices connected to your account.


3. Services

Generally. The Platform is a content and wearable-data-focused platform with certain Web3 features built in, like cryptographic tokens, wallets, and similar elements that help drive beneficial ecosystem interactions. The Platform provides registered users various services, which may include, but are not limited to, hosting registered user Profile pages and associated content, a vertical content feed, wearable device connectivity, challenge-based gamification, assistance with rewards delivery, and access to and use of the Platform for all authorized registered users (collectively, the "Services").
Clearance. Registered users acknowledge and agree that access to the Services via the Platform may be subject to a review of each such registered user's background, which may include obtaining a consumer report, know-your-customer, and anti-money laundering requirements, among other items necessary for Kollectiv´s legal obligations and protection of the registered users on the Platform. As much as possible, we will refrain from asking for this sort of information and will only do so to the minimum extent required to provide the Services. Registered users further acknowledge and agree to provide Kollectiv with written consent and authorization to perform any of the foregoing, and registered users will complete all necessary documents (e.g., Enrollment Form) required by Kollectiv to complete the review of each such registered user's background. Kollectiv reserves the right to admit or deny any registered user to the Platform for any or no reason.
Changes, Delays, Unavailability. Kollectiv reserves the right to alter, suspend, or discontinue the Services or the Platform at any time and for any reason or no reason without any liability to registered users. In such cases, Kollectiv will endeavor to give notice of such changes, delay, or unavailability. The Services may be unavailable from time to time due to maintenance or malfunction of computer or network equipment or other reasons.
Consent to be Contacted by Kollectiv. Each registered user consents, when making their account, to be contacted by Kollectiv for the purposes of the Services of the Platform. Email will only be used for authentication, absent a specific consent otherwise. No registered user's contact information shall be sold to third parties. For more information, please see our Privacy Policy.
Platform Features. Kollectiv offers a unique and compelling experience to users worldwide through its content feed and comprehensive wearable-based gamification system. This model emphasizes the intrinsic value of physical activity and community involvement, encouraging users to engage more deeply with the platform to unlock rewards and benefits. By completing challenges based on wearable data, users earn raffle tickets that provide opportunities to win rewards.
Token. $KOL is a utility token that makes the experience possible and enjoyable. Kollectiv provides these tokens to facilitate the rewards and gamification program. They should not be considered stores of value, mediums of exchange outside the Platform, or any other monetary or investment purpose. Because these tokens are for utility purposes only, Kollectiv makes no representations that they will retain value or be able to be converted back to currencies in the future. Members can earn $KOL by watching quality content, tracking physical activities through wearables, and other platform engagements. $KOL can be redeemed for scratch cards and other digital rewards, or held to access features like exclusive member clubs.


4. Wearables Data & Challenges

Wearable Integration. The Platform integrates with compatible wearable devices to track physical activities. By connecting your wearable devices, you consent to our collection and processing of your activity data according to our Privacy Policy.
Data Collection. By connecting wearable devices to the Platform, you authorize us to collect and process data including but not limited to step counts, distance traveled, sleep patterns, heart rate, calories burned, and activity duration.
Challenge System. The Platform includes a challenge-based system where:
• Users complete challenges based on wearable data
• Completion of challenges earns raffle tickets
• Raffle tickets provide opportunities to win rewards
• No purchase is necessary or possible to receive raffle tickets
• Rewards are purely effort-based
Data Accuracy. While we strive for accuracy, we cannot guarantee the precise measurement of activities by wearable devices. Discrepancies may occur based on device limitations, connectivity issues, or other factors.
Anti-Cheating Measures. We employ various anti-cheating measures to maintain Platform integrity. Attempts to manipulate wearable data, falsify activity, or otherwise game the challenge system may result in account termination and forfeiture of rewards.


5. Registered Users Responsibilities

User Responsibilities. Users shall comply with all stated terms while interfacing with the Platform. Users agree not to alter Kollectiv's content. Kollectiv may change the terms of the Agreement at any time. If you disagree with any such changes, you must cease interfacing with the Platform. Kollectiv may not provide advance notice of any change, and Kollectiv is not responsible for any value you may leave on the Platform if you do not agree with any new term. KOL and raffle tickets are designed for the enjoyment of the ecosystem and should not be relied on as stores of value. To the extent that a user breaches the preceding, such user may be prohibited on the Platform as well as risk claims from Kollectiv.
User Agreement. Users agree not to reproduce or make copies of the underlying content they purchase, unless otherwise authorized in writing by the rights' holder of such content. If Kollectiv, in its sole discretion, has a reasonable belief that a User has sold any content in violation of these Terms of Use, then Kollectiv shall notify the User, shall disable all of the User's access to the content, if possible, and disable the Services the Users can access.


6. Eligibility & Participation

To participate in the Platform, you will need a device, internet connection, compatible wearable devices, and crypto wallet.
Digital/Crypto Wallet. You may only participate with the Platform by linking your digital wallet(s) on supported bridge extensions such as Phantom and Solflare, which allow you to purchase, store, and engage in transactions on various blockchains and their affiliated tokens such as KOL, Ethereum, Solana or whatever other blockchains are accessible in your digital wallet that connect to the Platform. If you do not have a wallet or a wallet that supports KOL, then a non-custodial wallet will be created for you when you successfully submit the Enrollment Form.
ALL TRANSACTIONS INITIATED THROUGH A WALLET ARE FACILITATED AND RUN BY THIRD-PARTY ELECTRONIC WALLET EXTENSIONS, AND BY USING OUR PLATFORM YOU AGREE THAT YOU ARE GOVERNED BY THE TERMS OF USE FOR THE APPLICABLE EXTENSIONS.

THESE EXTENSIONS MAY REQUIRE "GAS" OR SIMILAR BLOCKCHAIN FEES TO FACILITATE THE TRANSACTION. KOLLECTIV HAS NO CONTROL OVER SUCH FEES. KOLLECTIV IS NOT A BROKER, FINANCIAL INSTITUTION, BANK, OR CREDITOR. THE SERVICES ARE AN ADMINISTRATIVE PLATFORM ONLY.
We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Platform thereafter.
Your continued use of the Platform following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.


7. Accessing The Platform & Account Security

We reserve the right to withdraw or amend any part of the Platform, and any service or material we provide on the Platform, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Platform is unavailable at any time or for any period.
From time to time, we may restrict access to some parts of the Platform, or the entire Platform, to any registered users.
You are strictly responsible for managing your user ID and login methods.
You are responsible for:
Making all arrangements necessary for you to have access to the Platform;
Ensuring that all persons who access the Platform through your internet connection are aware of these Terms of Use and comply with them;
Owning or controlling all rights in and to your contributions and have the right to grant the license granted above to us, our affiliates, and to the other registered users of the Platform, and each of their and our respective licensees, successors, and assigns; and
Ensuring all of your contributions do and will comply with these Terms of Use.
You understand and acknowledge that you are responsible for any contributions you make, and you, not Kollectiv, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.
We are not responsible or liable to any third-party for the content or accuracy of any contributions posted by you or any other registered user of the Platform.


8. Content Standards On Platform, Discord, And Other Kollectiv Communication Media

These content standards apply to any and all registered user contributions and use of the Services. Registered user contributions must in their entirety comply with all applicable local, and international laws and regulations. Without limiting the foregoing, registered user contributions must not:
Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy.
Be likely to deceive any person.
Promote any illegal activity, or advocate, promote, or assist any unlawful act.
Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
Impersonate any person or misrepresent your identity or affiliation with any person or organization.
Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
Give the impression that they emanate from or are endorsed by us or any other person or entity if this is not the case.


9. Prohibited Uses

You may use the Platform only for lawful purposes and in accordance with these Terms of Use.
You agree not to use the Platform:
In any way that violates any applicable local, or international law or regulation.
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards Section set out in these Terms of Use.
To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
To impersonate or attempt to impersonate Kollectiv, a Kollectiv employee, another registered user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which, as determined by us, may harm Kollectiv or registered users of the Platform, or expose them to liability.
Use the Platform in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Platform, including their ability to engage in real time activities through the Platform.
Use of any robot, spider, sniper, or other automatic device, process, or means to access the Platform for any unauthorized purpose is strictly prohibited. This includes but is not limited to monitoring, or copying any material from the Platform, or automating the process of participation or reward claiming. Engaging in such activities compromises the integrity of thePlatform and violates the terms of use, potentially leading to access restrictions or permanent bans.
Use any manual process to monitor or copy any of the material on the Platform, or for any other purpose not expressly authorized in these Terms of Use, without our prior written consent.
Use any device, software, or routine that interferes with the proper working of the Platform.
Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, the server on which the Platform is stored, or any server, computer, or database connected to the Platform.
Attack the Platform via a denial-of-service attack or a distributed denial-of-service attack.
Otherwise attempt to interfere with the proper working of the Platform.
Manipulate wearable data or tracking metrics to falsely claim challenge completion.
Create multiple accounts to increase chances in raffles or challenges.
Use VPNs or other methods to falsify your location, identity, or activity data.


10. Reliance On Information Posted

The information presented on or through the Platform is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other unregistered user of the Platform, or by anyone who may be informed of any of its contents.
This Platform includes content provided by third parties, including materials provided by other registered users and services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by Kollectiv, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of Kollectiv.
We are not responsible or liable to you, or any third party, for the content or accuracy of any materials provided by any third parties.


11. Health & Fitness Disclaimer

Nothing on the Platform constitutes medical, health, or fitness advice. The information provided is for general informational purposes only. We do not guarantee that using the Platform or completing challenges will result in any health or fitness improvements. Always consult with qualified healthcare professionals before starting any exercise program or making significant changes to your physical activity levels, especially if you have pre-existing health conditions.


12. Sanctioned Individuals

You, or the person whom you represent, may not be (1) the target of economic sanctions, financial sanctions, trade embargoes or export controls administered, enacted or enforced from time to time by the United States of America ("U.S.") (including those administered by the U.S. Treasury Department's Office of Foreign Assets Control, the U.S. Department of Commerce, or the U.S. Department of State), the United Nations Security Council, the European Union ("EU"), any EU member state, or the United Kingdom (regardless of its status vis a vis the EU) (collectively "Sanctions"); (2) organized, operating from, incorporated or resident in a country or territory which is the subject of comprehensive export, import, financial or investment embargoes under any Sanctions (which, as of the date of this Agreement are Cuba, Iran, North Korea, Syria, Russia, and the Russian controlled regions of Ukraine).


13. Disclaimer of Warranties

You understand that we cannot and do not guarantee or warrant that files available for interaction from the internet or the Platform will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our Sites for any reconstruction of any lost data.
TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR DEVISE, PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE PLATFORM OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY PLATFORM LINKED TO IT.
YOUR USE OF THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM IS AT YOUR OWN RISK. THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER KOLLECTIV NOR ANY PERSON ASSOCIATED WITH KOLLECTIV MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE PLATFORM. WITHOUT LIMITING THE FOREGOING, NEITHER KOLLECTIV NOR ANYONE ASSOCIATED WITH KOLLECTIV REPRESENTS OR WARRANTS THAT THE PLATFORM, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM WILL BE ACCURATE, RELIABLE, ERROR FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITES OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE PLATFORM OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. TO THE FULLEST EXTENT PROVIDED BY LAW, KOLLECTIV HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR ANY PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.


14. KOL Token Custody

For user experience purposes and to ensure the most smooth, frictionless, and cost-effective experience, Kollectiv maintains custody of users' KOL tokens in a secure multi-signature wallet until a withdrawal is requested.
Your KOL token balance is visible in your account and fully attributed to you, but the actual tokens will only be moved to an external wallet when you explicitly initiate a withdrawal.
By using our services, you authorize Kollectiv to hold KOL tokens on your behalf. Kollectiv implements industry-standard security measures to protect these assets, including multi-signature technology, cold storage protocols, and regular security audits.
Kollectiv reserves the right to impose reasonable withdrawal minimums and processing timeframes to ensure efficient operations. These limits and timeframes will be clearly communicated within the app.
In the event of any unforeseen circumstances affecting our custody services, including but not limited to security incidents, regulatory changes, or technical issues, Kollectiv will make reasonable efforts to notify users promptly and take appropriate measures to protect user assets.


14. Limitation of Liabilities

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL KOLLECTIV, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, ANY PLATFORMS LINKED TO IT, ANY CONTENT ON THE PLATFORM OR SUCH OTHER PLATFORMS, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.


15. Raffles & Rewards

From time to time, Kollectiv may offer you the chance to enter prize draws (raffles) sponsored by us or one of our third-party partners. When you enter a prize draw, we will clearly identify the sponsoring partner and provide any specific terms that apply. All prize draws are governed by Kollectiv’s General Prize Draw Terms.
In addition to raffles, you can earn scratch cards and tickets through daily activity, content engagement, and challenge participation. Scratch cards can be redeemed instantly for KOL tokens.


16. Governing Law & Jurisdiction

These Terms of Use will be governed by and construed in accordance with the laws of the Emirate of Dubai and the United Arab Emirates, without giving effect to any choice of law provisions. Each party hereby waives any right it may have to assert the doctrine of forum non conveniens, to claim that it is not subject to the jurisdiction of the courts of Dubai, or to object to venue for any proceeding brought in accordance herewith.


17. Changes To The Platform

We may update the content on this Platform from time to time, but its content is not necessarily complete or up to date. Any of the material on the Platform may be out of date at any given time, and we are under no obligation to update such material.


18. Information About You & Your Visits To The Platform

All information we collect on this Platform is subject to our Privacy Policy. By using the Platform, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.


19. Entire Agreement

These Terms of Use, our Privacy Policy, and Disclaimers constitute the sole and entire agreement between you and Kollectiv regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.


20. Other Terms & Conditions

All rewards, raffles, and challenges generated through our Platform or resulting from visits made by you, are governed by this Agreement and any specific terms identified with those rewards or offerings.
Additional terms and conditions may also apply to specific portions, services, or features of the Platform. All such additional terms and conditions are hereby incorporated by this reference into these Terms of Use.


21. App Store Requirements

You acknowledge and agree that the availability of our App is dependent on the third party stores from which you download the application, including Apple Inc.'s ("Apple") App Store (the "Apple App Store") and Google LLC's ("Google") App Store ("Google Play"). As a user of the Apple App Store, we are required to include certain legal terms in our Terms of Use, and these are set out in Attachment 1 to these Terms. You agree to comply with, and your licence to use our application is conditioned upon your compliance with, such Apple App Store terms and conditions. To the extent such other terms and conditions from such Apple App Store are less restrictive than, or otherwise conflict with, the terms and conditions of these Terms of Use of Use, the more restrictive or conflicting terms and conditions in these Terms of Use apply.
Through our App, you may purchase ("In-App Purchase") certain goods or features designed to enhance the performance of the Service. When you make an In-App Purchase, you are doing so through the Apple iTunes service and you are agreeing to their respective Terms and Conditions, available at http://www.apple.com/legal/internet-services/itunes/us/terms.html.
Kollectiv is not a party to any In-App Purchase.


22. Contact Information

If the Platform contains links to other sites and resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, including banner advertisements and sponsored links. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party platforms linked to this Platform, you do so entirely at your own risk and subject to the terms and conditions of use for such platforms.
All other feedback, comments, requests for technical support, and other communications
relating to the Platform should be directed to our support service at support@kollectiv.io.
